Terms of Service

1. Acceptance of Terms
By accessing or using the Cytomaton website at cytomaton.ai and the Cytomaton web application (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.
Cytomaton, LLC (“we,” “us,” or “our”) reserves the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date.
2. Description of Service
Cytomaton is an AI-assisted cloud platform for flow cytometry data analysis. The Service allows you to upload FCS files, create gating analyses, use AI-assisted gating suggestions, perform dimensionality reduction, run batch processing, export results, and collaborate with other users.
The Service is currently in closed beta. Features, availability, and pricing may change at any time during the beta period.
3. User Accounts
To use the Service, you must create an account with a valid email address. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized access
You must be at least 16 years old to use the Service. By creating an account, you represent that you meet this age requirement.
4. Important Disclaimers
Research Use Only
This tool assists with research workflows. Verify all results independently. Not intended as the sole basis for experimental decisions.
Not a medical or diagnostic device. Cytomaton is not validated for clinical diagnostic use and is not FDA-cleared, CE-marked, or certified under any regulatory framework for in vitro diagnostics (IVD). The Service must not be used to make clinical decisions or diagnose disease.
Not a substitute for professional judgment. AI-generated gating suggestions, clustering results, and all other automated analyses are computational aids. They may contain errors. You are solely responsible for validating all results before relying on them for publications, grant applications, or experimental decisions.
Not GxP or 21 CFR Part 11 compliant. The Service is not suitable for use in regulated environments requiring compliance with Good Laboratory Practice (GLP), Good Manufacturing Practice (GMP), or FDA 21 CFR Part 11.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Upload malicious files or attempt to compromise the security of the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated tools to scrape, crawl, or extract data from the Service beyond what is provided through our API
- Interfere with or disrupt the Service or servers connected to the Service
- Resell, sublicense, or redistribute access to the Service without our written consent
- Circumvent rate limits, authentication, or access controls
- Use the Service to process data subject to regulations that require specific certifications we do not hold (e.g., HIPAA protected health information, clinical diagnostic data)
6. Intellectual Property
Your data
You retain all rights to the flow cytometry data you upload and the analyses you create. We do not claim ownership of your data. We use your data only to provide and improve the Service, as described in our Privacy Policy.
Our service
The Service, including its design, features, code, and documentation, is owned by Cytomaton, LLC and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.
Feedback
If you provide suggestions or feedback about the Service, we may use that feedback without restriction or obligation to you.
7. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy, reliability, or completeness of any AI-generated analysis, gating suggestion, or computational result.
8. Limitation of Liability
To the maximum extent permitted by law, Cytomaton, LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or related to your use of the Service.
Our total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed one hundred US dollars ($100).
9. Indemnification
You agree to indemnify, defend, and hold harmless Cytomaton, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Any data you upload to the Service, including claims that such data infringes on intellectual property or privacy rights
10. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:
- Your right to use the Service ceases immediately
- You may request export of your data within 30 days of termination by contacting us
- We may delete your data after the 30-day export window

11. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Wyoming.
12. Changes to These Terms
We may modify these Terms at any time. We will provide notice of material changes by updating the effective date at the top of this page. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
